Offering company means a reg- istered open-end investment company (other than a registered separate ac- count) or any principal underwriter thereof that makes an offer (an ‘‘ex- change offer’’) to the holder of a secu- rity of that company, or of another open-end investment company within the same group of investment compa- nies as the offering company, to ex- change that security for a security of the offering company;
