Offeree Notice definition

Offeree Notice has the meaning set forth in Section 5.4(b).

  • At any time during the Offer Period, the Corporation may accept the Offer by giving written notice to the Transferor of such acceptance (the "Offeree Notice").

  • In the event the Offeree exercises the option described in Section 11.6(b)(1), the Offeree shall deliver the Buy-Sell Notice Check to Escrow Agent, who shall promptly deposit the Buy-Sell Notice Check in its escrow account and shall hold such deposit pursuant to an escrow agreement to be entered into promptly following the Offeree Notice among the Offeror, the Offeree and such Escrow Agent in a form reasonably required by Escrow Agent and reasonably acceptable to Offeror and Offeree.

  • The failure of the Tag-Along Offeree to deliver an Offeree Notice to the Tag-Along Initiator within the Tag-Along Acceptance Period shall be deemed to be an automatic refusal of the Tag-Along Offer.

  • In the event that the Offer is accepted by the Corporation, the Offeree Notice shall fix a closing date (the "Transfer Closing Date") for such purchase which shall be neither earlier than ten (10) nor later than ninety (90) Days after the expiration of the Offer Period.

  • If an Offeree fails to timely deliver an Offeree Notice to the Offeror, it shall be deemed to have waived any right to participate in the Offer.

  • In the case of a Secondary Offering, the Transferor shall notify each Secondary Offeree as to the number of Offered Shares remaining within three (3) days following such election (the "Secondary Offeree Notice").

  • If the Remaining Member elects to do so, it must inform the Transferor of such election in its Offeree Notice.

  • Should Offeree fail to deliver an Offeree Notice to Offeror within the thirty (30) day election period specified above in this Section 10.2, Offeree shall be deemed to have elected to sell the Purchase Interest to Offeror upon the terms specified in the Buy-Sell Notice.

  • The Transferor shall notify the Initial Offeree and each other Offeree (collectively with the Initial Offeree, the "Secondary Offerees") as to the number of Offered Shares remaining within three (3) days following the Initial Offeree's election (the "Initial Offeree Notice") and through such notice offer to sell such remaining Offered Shares to the Secondary Offerees (a "Secondary Offering").
