Offeree Employee definition

Offeree Employee means each Business Employee who is not employed by a Transferred Entity.
Offeree Employee has the meaning set forth in Section 8.5(b).
Offeree Employee is defined in Section 6.5.

  • Nothing in this Agreement shall be construed as an employment contract between Buyer and any Offeree Employee.

  • Neither Seller nor any of its Affiliates shall knowingly cause or attempt to cause any Offeree Employee to reject Buyer’s or its Affiliate’s offer of employment.

  • Except as set forth on Schedule 4.9, Seller has no written employment contracts, and no agreement of any nature that provides for employment for any particular period of time or that provides any restrictions upon Seller's right to terminate employment without any post- termination payment obligation, with any Offeree Employee.

  • Each Offeree Employee who accepts such offer of employment and transfers to Buyer or one of its Affiliates (the “Transferred Employees”) shall commence employment with Buyer or one of its Affiliates immediately following the Closing.

  • Further, nothing contained in this Agreement will prohibit Seller from attempting to retain the employment, by any lawful means, of one (1) Offeree Employee.

  • In the event an Offeree Employee accepts a Qualified Offer and is hired by Buyer (each a “Transferred Employee”), such Transferred Employee’s employment with Buyer shall be effective the first business day following the Closing Date.

  • Other than in the ordinary course of business, no binding agreements have been made or entered into between Seller and any Offeree Employee regarding changes in compensation, promotion or any other change in status.

  • The Offeree Employees who accept employment with Buyer are referred to herein as the "Transferred Employees", provided that any Offeree Employee who accepts employment with the Buyer but is terminated within thirty (30) days of the Closing Date shall be deemed not to be a Transferred Employee solely for the purposes of subparagraph (f) of this Section.

  • Eligible Employee means full-time and part-time employees in the bargaining unit who have completed four hundred and fifty (450) hours of service and who are not prohibited from contributing to the Plan by legislation or the Plan rules because of their age or because they are in receipt of a pension from the Plan.

  • Bona fide employee means a person, employed by a bidder and subject to the bidder's supervision and control as to time, place, and manner of performance, who neither exerts, nor proposes to exert improper influence to solicit or obtain contracts nor holds out as being able to obtain any contract(s) through improper influence.

  • Designated Employee means an employee who has been designated by the school to receive complaints of hazing, harassment and bullying pursuant to subdivision 16 V.S.A. 570a(a)(7). The designated employees for each school building are identified in Appendix A of this policy.

  • New employee means a Full-Time Employee first employed by the Company in the Project and who is hired on or after the Effective Date of this Agreement.

  • Male employee means an employed male who is caring for a child borne of his spouse or a child placed with the employee for adoption purposes.
