During the period between the date hereof and 11:59 p.m. Central on December 1, 2024, Purchaser may continue its efforts to hire (effective at the Closing) any Offered Employees.
No Seller Benefit Plan in which the Offered Employees participate is, and neither of the Sellers nor any of their ERISA Affiliates has any Liability with respect to, a multiemployer plan within the meaning of Section 3(37) of ERISA or a plan that has two or more contributing sponsors at least two of whom are not under common control within the meaning of Section 4063 of ERISA.
