Offer Cap has the meaning set forth in the Recitals.

Subject to the prior satisfaction, or waiver by WHP in accordance with the terms hereof, of the Offer Conditions as of the Expiration Time, WHP shall consummate the Offer in accordance with its terms and accept for payment and pay for all shares of Common Stock validly tendered and not validly withdrawn pursuant to the Offer as promptly as practicable after the Expiration Time, subject to the Offer Cap and Section 7.1(e).
