Without prejudice to the foregoing, the Offer Price has been determined on the basis that the Offer Shares will be acquired with the right to receive any Distribution that may be declared, paid or made by the Company on or after the Offer Announcement Date.

Without prejudice to the foregoing, the Offer Price has been determined on the basis that the Offer Shares will be acquired with the right to receive any Distribution that may be declared, paid or made by the Company on or after the Pre-Conditional Offer Announcement Date.
Accordingly, if any Distribution is announced, declared, made or paid by the Company on or after the Offer Announcement Date, the Offeror reserves its right to reduce the Offer Price payable in respect of such Offer Shares tendered in acceptance of the Offer by an amount equivalent to such Distribution as set out in Section 2.4 immediately below.
Copies of the SMPL Irrevocable Undertaking and the KTPL Irrevocable Undertaking are available for inspection at the offices of the Offeror at ▇ ▇▇▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ #▇▇-▇▇ ▇▇▇▇▇▇ ▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ during normal business hours from the Pre-Conditional Offer Announcement Date until the date on which the Offer closes or lapses or is withdrawn in accordance with its terms.
Without prejudice to the generality of the foregoing, the Offer Price has been determined on the basis that the SuperBowl Shares will be acquired with the right to receive any Distributions, the Record Date for which falls on or after the Pre-Conditional Offer Announcement Date.
In the event any dividend, right or other distribution or return of capital is declared, paid or made by WBL in respect of the WBL Shares on or after the UEL Offer Announcement Date, the Offeror reserves the right to reduce the consideration payable for each WBL Share by an amount equivalent to such dividend, right, other distribution or return of capital.
