OEM Basis definition
OEM Basis has the meaning set forth in Section 2.2
OEM Basis means the manufacture and sale of any product to any Third Party for (a) incorporation into or sale with or as such other Third Party’s product, or (b) the resale of such Third Party’s product, as the case may be, by such Third Party under trademarks owned by the Third Party, although a Party may bundle its products with the products of a Third Party so long as such Third Party’s trademarks are not prominently displayed in conjunction with such bundle. Examples of OEM Basis in a sentence
The term OEM Basis includes, without limitation, the manufacture and sale of any Licensed Product to any Third Party for (i) incorporation into or sale as such Third Party’s product, or (ii) the resale of such Licensed Product, as the case may be, by such Third Party under trademarks owned by the Third Party.
For the same period of time, ABI will, at Paradyne's option, sell HAWK PRODUCTS to Paradyne on an OEM Basis on "most favored customer" terms (see below).
