Siemens will not accept any further claims from the Supplier for Obsolete Products after this six week period.

Premier is (a) entitled to own or lease its properties and to carry on its business as and in the places where such business is now conducted, and (b) duly licensed and qualified in all jurisdictions where the character of the property owned by it or the nature of the business transacted by it makes such license or qualification necessary, except where the failure to do so would not reasonably be expected to result in a material adverse effect on Premier.
Where the Customer decides not to follow the Supplier recommendation or agreement is not reached in respect of the Fees, the Supplier reserves the right to cease the provision of Services in respect of the Obsolete Products.
Upon payment of the cancellation charges, all Obsolete Products, Work-In-Process, and non-returnable/non-cancelable components in house or on order shall be delivered to (or held by Seller on a consignment basis), and become the property of, the Buyer.
Seller shall use commercially reasonable efforts to discount, accept returns on and otherwise provide credits for Obsolete Products on retail display fixtures located in CJ Business customers’ retail stores within 120 days of the Closing Date.
