  • The Investor agrees that, in connection with OACB’s initial public offering of securities, OACB deposited a substantial part of the proceeds of the offering, and the proceeds from a private placement of warrants, into a trust account (the “Trust Account”).

  • From and after the filing of the Current Report with the SEC, the Company shall have and the Company shall have caused OACB to have publicly disclosed all material, nonpublic information delivered to the Investor (or the Investor’s representatives or agents) by the Company or any of its Subsidiaries, or any of their respective officers, directors, employees, agents or representatives (if any) in connection with the transactions contemplated by the Transaction Documents.

  • The Company and OACB have entered into an agreement to consummate the Business Combination.
