NYSEFC definition

NYSEFC means the New York State Environmental Facilities Corporation, a public benefit corporation organized pursuant to New York Public Authorities Law § 1280 et seq.

  • Recipient acknowledges and agrees that in connection with all aspects of each transaction contemplated hereby: (i) no fiduciary, advisory, or agency relationship between the Recipient and the NYSEFC is intended to be or has been created, (ii) Recipient has consulted its own legal, accounting, regulatory and tax advisors to the extent that it has deemed appropriate, and (iii) the NYSEFC has not been, is not, and will not be acting as an advisor, agent or fiduciary for Recipient.

  • The Recipient’s approval of a Utilization Plan or waiver request is subject to the prior consent of the NYSEFC.

  • To the fullest extent permitted by law, Recipient hereby waives and releases any claims that it may have against the NYSEFC with respect to any breach or alleged breach of agency or fiduciary duty in connection with any aspect of any transaction contemplated hereby.

  • The Recipient shall provide all plans and specifications to the NYSEFC a minimum of 60 days prior to bidding.

  • To the fullest extent permitted by applicable law, the Recipient shall not assert, and hereby waives, any claim against the NYSEFC, on any theory of liability, for special, indirect, consequential or punitive damages (as opposed to direct or actual damages) arising out of, in connection with, or as a result of, this Grant Agreement, any agreement or instrument contemplated hereby, the transactions contemplated hereby or thereby, or the use of the proceeds hereof or thereof.

  • Upon receipt, the Recipient shall submit to the NYSEFC all reports and documentation required pursuant to this paragraph.

  • The NYSEFC shall not be liable for any damages arising from the use by unintended recipients of any information or other materials distributed by it through telecommunications, electronic or other information transmission systems in connection with this Grant Agreement or the transactions contemplated hereby.

  • The Recipient shall provide to the NYSEFC such documentation as it receives from contractors, subcontractors and consultants, including quarterly periodic reports, as may be required by law or requested by the NYSEFC regarding affirmative action, equal employment opportunity (“EEO”), and minority- and women-owned business enterprises (“MWBE”).
