NWMS may reject any Lead Creative with or without cause, even after such Lead Creative was previously approved by NWMS.

This clause does not apply to employees of NWMS or employees who have elected to work a 38 hour week without an RDO.
For purposes of the Agreement, a “Low Quality Data Record” means a Data Record submitted by VENDOR to NWMS that NWMS determines, in its sole discretion, is not marketable.
Without limiting the foregoing, VENDOR must not violate the rules, requirements or regulations of any Paid Search Network or Paid Inclusion Network, and VENDOR shall fully indemnify and hold harmless NWMS from and against any and all liability arising in connection with such violation(s).
Each Notice hereunder must be addressed to the applicable Party as follows: If to Recipient: At a valid postal/street address given by Recipient as part of the process of registering for an online account with NWMS at one of its Websites If to NWMS: Next Wave Marketing Strategies, Inc.
VENDOR must provide all text and proposed keywords/phrases that it would like to bid on (“Keyword Text”) to NWMS for approval or editing, prior to submitting same to any Paid Search Network or Paid Inclusion Network.
Notwithstanding the foregoing, if NWMS uncovers any material misconduct associated with VENDOR’s generation of Data Records hereunder, then the audit shall be at the sole cost and expense of VENDOR.
