NWC Calculation definition

NWC Calculation means an amount equal to (a) the amount, if any, by which the Net Working Capital as finally determined pursuant to, and in accordance with, Section 3.4 exceeds the Working Capital Target, (b) expressed as a negative number, the amount, if any, by which the Working Capital Target exceeds the Net Working Capital as finally determined pursuant to, and in accordance with, Section 3.4, or (c) if Net Working Capital, as finally determined pursuant to, and in accordance with, Section 3.4, equals the Working Capital Target, zero.

Examples of NWC Calculation in a sentence

  • Not more than forty-five (45) days after the Closing Date, Seller shall deliver to Buyer (i) the Closing Balance Sheet, and (ii) the Final NWC Calculation.

  • Except to the extent of reserves reflected in Net Working Capital, all of the Inventory is substantially of a quality and quantity usable and salable in the ordinary course of business of the Hospital to the extent reflected in the Interim NWC Calculation.
