  • In order to induce the Investors to enter into this Agreement and to consummate the transactions contemplated hereby, the Company makes the representations and warranties set forth below to NVPL and the Investors.

  • NVPL and the Investors shall have obtained all authorizations, consents, waivers and approvals as may be required to consummate the transactions contemplated by this Agreement, including but not limited to those with respect to any material agreement of NVPL.

  • NVPL has good, clear and marketable title to all the tangible properties and tangible assets reflected in the Financial Statements as being owned by NVPL or acquired after the date thereof which are, individually or in the aggregate, material to NVPL’s business (except properties sold or otherwise disposed of since the date thereof in the ordinary course of business), free and clear of all material liens.

  • NVPL has all requisite corporate power and authority to carry on its business as presently conducted.

  • In order to induce the Company to enter into this Agreement and to consummate the transactions contemplated hereby, NVPL and each Investor hereby severally and not jointly makes the representations and warranties set forth below to the Company.
