Nutra Plan means each Employee Plan that is sponsored by Nutra or to which Nutra is a party (other than solely as a participating employer along with other Affiliates of GNC).

  • Nothing set forth in this Section 8.01 shall confer any rights or remedies upon any employee or former employee of Nutra, any Business Employee or upon any other Person other than the parties hereto and their respective successors and assigns or shall constitute an amendment to any Nutra Plan or any other plan or arrangement covering the Business Employees.

  • Other than routine claims for benefits, there are no material proceedings or claims pending or, to the knowledge of Seller, threatened with respect to (i) any Nutra Plan or (ii) any GNC Plan that could reasonably be expected to result in a Liability to Nutra.

  • Nutra shall be responsible for, and shall pay and perform when due, all obligations and liabilities under each Nutra Plan, whether such Liabilities arise prior to, on or after the Initial Closing Date.

  • No Nutra Plan is intended to be qualified under Section 401(a) of the Code or is subject to ERISA.
