The entering into and ------------------------------- performance of this Agreement by NTGM does not: (i) conflict with or violate its charter documents or other agreements to which it is a party; or (ii) require any approval or authorization of or violate any laws, regulations or orders of any court, governmental authority or regulatory body which has jurisdiction over NTGM.
