• Novatel Wireless hereby warrants that the Software included as part of the overall product is Year 2000 Compliant; "Year 2000 Compliant" shall be defined as having the capability to (i) correctly process date field dependent logic to accurately process and utilize any date prior to and any date after December 31, 1999; and (ii) store and represent dates in a manner which enables the user to easily identify or use the century portion of any date fields without any special processing.

• For purposes of this Section, “Competitor” means any of the following companies: (i) Airprime, Inc.; (ii) Novatel Wireless, Inc.; or (iii) Sierra WirelessXYZ.

• Novatel Wireless will timely provide Intel with material safety data sheets and any other documentation reasonably necessary to enable Intel to comply with applicable laws and regulations.

• Intel may return up to *** of its inventory of Products purchased from Novatel Wireless during the previous ninety (90) days in unopened, original, individual Product packaging for a credit against any future Novatel Wireless invoices.

• Intel covenants and agrees that it shall not provide such written certification unless an Escrow Event has occurred or Intel has notified Novatel Wireless that Intel is exercising its option to license the Design Package or the Manufacturing Package, as the case may be.

Upon Sanmina's receipt of payment, the Inventory Purchase Commitment shall be reduced dollar for dollar by the amount of the payment. In the event Sanmina for any reason (other than an Unavoidable Delay) fails to deliver more than 15% of the requested Inventory on such Purchase Order, including, without limitation, Sanmina's failure to have such requested Inventory in stock, any payment made by Novatel Wireless for such inventory not in stock (the "UNAVAILABLE INVENTORY") will be returned to Novatel Wireless and the outstanding amount of the Inventory Purchase Commitment shall be reduced by an amount equal to the Agreed Value of the Unavailable Inventory.
