Novate or "novation" shall be construed as an assignment of rights and an assumption of obligations;
Novate and “Novation” shall have that meaning as set forth in the Federal Acquisition Regulation at Subpart 42.12 wherein a Governmental Entity may, when in its interest, recognize a third party as the successor in interest to a U.S. Government Contract when the third party’s interest in the Contract arises out of the transfer of all of the contractor’s assets, or the portion of the assets involved in performing the Contract. It shall also mean and include the assignment or other transfer of other Contracts that require the consent of or notice to the applicable counterparty to such Contracts, including without limitation. Customer Contracts to perform work for non-U.S. Government Customers (i.e., when the other contracting party is not a U.S. Governmental Entity), and Contracts to perform and/or procure work for the benefit of U.S. Government Customers or other Customers (e.g., in the case of subcontracts executed by a prime contractor that support performance of a U.S. Government Contract).
Novate means to substitute, with the consent of all parties to the access contract and with effect on and from a date nominated as the effective date of the novation, an assignee for an assignor as a party to an access contract, with the result that:

Novate means to reassign the rights and obligations of your lease contract. All your rights and obligations of the contract are taken over by Optus for the term of the lease: other than those which relate to termination or early expiry of the lease, i.e. the residual value. A Novation agreement between you and Optus allows a portion of the running and finance costs to be deducted from your salary pre tax.
