The representations and warranties of Mackie, the RCF Shareholders and the Novac Shareholders contained in this Agreement and in any document delivered or to be delivered pursuant to this Agreement shall survive the Base Price and Earn Out Closing Date for a period of five (5) years.

Said due diligence shall include, without limitation, an examination of the intellectual property rights of RCF and the RCF Subsidiaries, all books and records of Novac, RCF and the RCF Subsidiaries, all contracts currently in force to which Novac, RCF or any RCF Subisidiary is a party and all litigation and arbitration matters, whether in course or threatened, affecting Novac, RCF or any RCF Subisidiary.
Mackie and RCF shall reimburse the RCF Shareholders or the Novac Shareholders following the procedure indicated in Section 13.3 hereinbelow for any payment made or loss suffered by them at any time after the Base Price and Earn Out Closing Date in respect of any damages to which the foregoing indemnity relates.
