For the avoidance of doubt, and notwithstanding any provisions of the Original FCT regulations to the contrary, each of the Class A Notes Subscriber and of the Class B Notes Subscriber hereby expressly waives the three (3)- Business-Day-delay referred to in sub-paragraph (v) of paragraph (a) of clause 19 (Amendments to the FCT Regulations - Consultation of the Residual Unitholders and the Noteholders) of the Original FCT Regulations.
The Subscriber agrees that if any transfer of its Subscriber Notes, Subscriber Conversion Securities or any interest therein is proposed to be made, as a condition precedent to any such transfer, Subscriber may be required to deliver to the Company an opinion of counsel satisfactory to the Company.
As contemplated by the Convertible Notes, upon conversion of the Convertible Notes, Subscriber shall submit a Notice of Conversion and Resale, substantially in the form attached hereto as Exhibit J.
