Noted Exceptions definition

Noted Exceptions has the meaning set forth in Section 6.18(a).
Noted Exceptions means those items set forth on Schedules 3.15 and 5.

Examples of Noted Exceptions in a sentence

  • Seller shall inform Buyer prior to Closing whether Seller will cure such Noted Exceptions or obtain an endorsement for additional title insurance or indemnification that satisfies such objection.

  • If Buyer does not provide notice of objections to Seller as set forth above, then Buyer shall be deemed to have waived any remaining uncured objections and accepted the Non-Identified Parcel Title Commitment; provided that Buyer shall be deemed to have objected to, and the same shall be deemed NI Noted Exceptions, any monetary encumbrances and any exceptions to Seller’s sole ownership of fee title to the entire estate.

  • Notwithstanding the foregoing, if all Noted Exceptions which have not been removed, insured by endorsement, or deemed accepted by Buyer, when taken as a whole, would result in a Material Adverse Effect, the condition set forth in Section 7.02(e) shall be deemed not to have been satisfied.

  • The parties agree that the fact that the Closing takes place without any Noted Exceptions being removed shall not impair or otherwise affect the rights to indemnification under Section 8.02 in respect of any Losses incurred by Buyer resulting from such title defect.

  • Seller shall inform Buyer within fifteen (15) days from receipt of such notice if Seller will cure such Noted Exceptions or obtain an endorsement for additional title insurance or indemnification that satisfies such Noted Exception; provided that Seller shall reasonably cooperate with Buyer and Seller shall use commercially reasonable efforts to remove all Noted Exceptions, obtain any additional endorsements, and/or update the Title Commitments.
