Employee agrees that during the Term of this Agreement and, in the case of a termination "Not For Cause", for a period of one (1) year thereafter (and in the case of a termination "For Cause", for a period of two (2) years thereafter), Employee will not, directly, indirectly or as an agent on behalf of or in conjunction with any person, firm, partnership, corporation or other entity, induce or entice any employee of the Company to leave such employment or cause anyone else to do so.
Nothing in the Plan, this Agreement or any other instrument executed pursuant thereto shall confer upon the Optionee any right to employment with the Company, NV or any Affiliate or shall affect the right of the Company, NV or any Affiliate to terminate the employment of the Optionee for Cause or Not For Cause.
Notwithstanding the Section of the Agreement entitled Term, except for a For Cause Termination, or an Immediate Termination Not For Cause, which terminations shall be effective immediately upon notice to Buying Agent, all other terminations of this Agreement shall be effective on the day that is 365 days from the date on which the Termination Notice is received by the addressee.
In this event, Company shall pay Executive on the effective date of termination the same amounts as provided in Section 4(a), "Termination of Employment By Company Not For Cause".
Company shall have the right to terminate Executive’s employment with Company at any time For Cause or Not For Cause, subject to the notice requirements described in this Section 3.
Hawaiian Telcom shall pay to Supplier on the effective date of such the termination the applicable Termination Not For Cause Fee pursuant to Section 14 of Exhibit D (Charges).
In the event Executive’s employment is terminated by the Company Not For Cause, then Executive shall be entitled to receive an amount equal to the Executive’s Base Salary during a three (3) month period (and equal to the Base Salary multiplied by one quarter (¼)) (the “Severance Pay”).
