Examples of NorthStar Member in a sentence

  • The NorthStar Member Representative, and any Chief Executive Officer (CEO) or Chief Nuclear Officer (CNO) of ADP or ADP CR3 appointed by NorthStar to serve in such office, shall be a U.S. citizen.

  • The Formation Member shall, on the date hereof, disclose to NorthStar Member in writing all of the material terms and conditions relating to the organizational structure and governance of, and equity interests held in, the Formation Member, including providing NorthStar Member with a copy of the operating agreement of (and all side letters with respect to) Formation Member and the direct or indirect entities holding interests therein.

  • NorthStar Member and Formation Member shall have not less than ten (10) days’ notice of the date, time and location of the Initial Consultant Meeting and shall have the right to have its representatives present thereat.

  • The Formation Member shall indemnify the NorthStar Member and the Venture from any claims asserted against the NorthStar Member or the Venture by reason of any party claiming to have dealt with the Formation Member.

  • Notwithstanding the foregoing, the Administrative Member shall not be deemed to have breached the foregoing provisions of this Section 7.12(a) (and shall have no liability or be subject to any remedy under this Agreement) with respect to any specific actions taken by the Administrative Member at the written direction of, or with the prior written approval of, the NorthStar Member, including the entering into of each Operating Lease (the form of which is hereby approved by the NorthStar Member).

  • The NorthStar Member may delegate any of its duties hereunder to the Administrative Member.

  • Without limiting the generality of the foregoing, subject to clauses (i) and (ii) of the immediately preceding sentence, the NorthStar Member is hereby authorized to execute and deliver on behalf of the Venture any and all documents, contracts, certificates, agreements and instruments, and to take any action of any kind and to do anything and everything the NorthStar Member deems necessary, desirable or appropriate in accordance with the provisions of this Agreement and the LLC Act.

  • Within ten (10) Business Days after the delivery of the Valuation Dispute Notice, Put Notice or Redemption Acceptance Notice, NorthStar Member and Formation Member will each select an independent consultant (each, an “Initial Consultant” and together, the “Initial Consultants”).

  • The Redemption Closing shall occur on a date and at a place designated by the NorthStar Member, which is not more than sixty (60) days after the Formation Member has delivered the Redemption Acceptance Notice.

  • If the Venture itself pays or incurs any tax (including penalties or interest) or similar charge directly or indirectly on behalf of any Member as required by applicable law (other than on account of all Member equally), that is not withheld from actual distributions to the Member, then the Venture may, at the option of the NorthStar Member, either (i) require the Member to reimburse the Venture for such payment or (ii) reduce any subsequent distributions to such Member by the amount of such payment.

  • Managing Member is defined in the recitals to this Agreement.

  • ☐ - MULTI-MEMBER The “Capital Account” for each Member shall mean the account created and maintained for the Member in accordance with Section 704(b) of the Internal Revenue Code and Treasury Regulation Section 1.704-1(b)(2)(iv).

  • Panel Member ’ means a member of a panel;

  • Staff member means a staff member as defined in section 1(1) of the Public Service Act, 1995 (Act No. 13 of 1995);

  • Founder Member means a subscriber to these rules for the purposes of registration;

  • Class A Member means a Member holding one or more Class A Ordinary Shares.

  • Executive Member means any elected member of the authority appointed to the executive of that authority;

  • Service member means a member of the armed forces, a reserve branch of the armed forces, or the Michigan national guard.

  • Preferred Member means a Member holding Preferred Units.

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • New member means a person first employed on or after Septem- ber 1, 2005, including a former member who withdrew retirement contributions under Government Code 822.003 and is reemployed on or after September 1, 2005.

  • crew member means a person assigned by an operator to duty on an aircraft during a flight duty period;

  • Individual Member means a registered, financial Member of the Club who is at least 18 years of age.

  • Founding Member means any individual who is either:

  • Support staff member means an employee who holds a position for which no certificate issued by the New Jersey State Board of Examiners is required.

  • Initial Member has the meaning set forth in the introductory paragraph.

  • General Partner means the general partner of the Partnership.

  • Full Member means any person who is in one of the categories of membership referred to in Rule 10.3.

  • Non-Managing Member means any Member other than the Managing Member.

  • Other Member means a Voting Member who is not an Eligible Account Holder or a Supplemental Eligible Account Holder.

  • Bona fide member means an individual who participates in activities of a qualified organization

  • Junior Member means a registered Member of the Club who is younger than 18 years of age.

  • Participating member means an eligible employee who elects to participate in the defined contribution retirement plan established under this chapter.

  • Common Member means a Member holding Common Units.

  • Tribal Member means an enrolled member of the Tribe.

  • Active member means a member of the pension program or the individual account program
