Non-Release Order definition

Non-Release Order means a written notice from the Company certifying that the requisite target sales levels, as described in Section 2.3 of the Customer Transfer Agreement, have not been met. Any Non-Release Order provided by the Company to the Escrow Agent under this Agreement must also be provided by the Company to Murex.

  • Upon receipt of a Non-Release Order in respect of Note A or Note B, the Escrow Agent shall withhold any release of Note A or Note B, as applicable, until the Escrow Agent receives written instructions from the Company directing the release to Murex of Note A or Note B, as applicable, or until the Escrow Agent receives instructions from an arbitration panel or other tribunal in a proceeding to which Murex and the Company are parties, in accordance with the provisions of Paragraph 5 hereof.
