• The Agent and the Lenders shall forgive payment of the Tranche B Non-Payment Fee if the Borrower has terminated the Tranche B Commitments and paid in full the outstanding Tranche B Loan on or before the Tranche B Termination Date.

• Notwithstanding the foregoing, the Lender agrees that Lender shall forbear from demanding payment of such Non-Payment Fee until the earlier of the Maturity Date or the date on which all of the other Non-Ad Art Guaranty Obligations are paid in full.

• The Borrower agrees to pay to the Agent for the account of the Lenders a fee (the "Tranche B Non-Payment Fee") in an amount equal to 3% of the Commitments outstanding as of the date immediately prior to the Tranche B Termination Date which shall be fully earned and due and payable on the Tranche B Termination Date.
