Non-Market Transaction definition
Non-Market Transaction means a negotiated transaction taking place other than through the facilities of a securities exchange or in the over-the-counter market.

For the avoidance of doubt, the term "a Non-Market Transaction for value in excess of $500,000" shall include any transaction or series of related transactions taking place within a period of 180 consecutive days pursuant to a prearranged plan.
