Non-Fully Diluted Basis definition
Non-Fully Diluted Basis means all shares of Common Stock issued and outstanding, excluding the Sponsor Earnout Shares to the extent such Sponsor Earnout Shares remain subject to forfeiture pursuant to Section 2.1.
Non-Fully Diluted Basis means all shares of Common Stock issued and outstanding, excluding the Sponsor Earnout Shares (as defined in the Stockholders’ Agreement) to the extent such Sponsor Earnout Shares remain subject to forfeiture pursuant to Section 2.1 of the Stockholders’ Agreement.
