Non-Essential Expenditures definition
Non-Essential Expenditures means capital expenditures or any expenditures (a) relating to the sale or marketing of, the development and implementation of leasing programs for, or the change in the use or zoning of the Property or any portion thereof, (b) any cost relating to the development, redevelopment or improvement of the Property or any portion thereof that is not required to be paid pursuant to a contract or other agreement with respect to which the Required Approval has been obtained, and (c) any cost relating to the development, redevelopment or improvement of the Property or any portion thereof that is required to be paid pursuant to a contract or other agreement with respect to which the Required Approval has been obtained, where there has been a material change in the portion of the Property to which such contract or agreement relates. Non-Essential Expenditures shall in no event include expenditures to pay for any emergency repairs described in clause (ii) of Section 3.5).
