Non-core Technology definition

Non-core Technology shall have the meaning specified in Section ------------------- 5.
Non-core Technology means a technology that does not constitute a source of competitiveness of the business within a single Technical Component.

Examples of Non-core Technology in a sentence

  • In no event shall either party be entitled to any equitable relief with regard to Non-core Technology.

  • In the event that either party licenses Non- ------------------- core Technology to the other party, any indemnification rights and obligations shall be as set forth in the licensing agreement between the parties relating to such Non-core Technology.

  • In the event that ---------------------------------------------- either party independently develops or licenses technology that is not included in the definition of Interoperability Technology ("Non-core Technology"), such ------------------- Non-core Technology shall remain the property of the developing or licensing party; and all right, title and interest in and to such Non-core Technology, including any intellectual property rights therein, shall reside with the developing or licensing party.

  • In such event, the developing or licensing party shall make available (or, in the case of licensed technology, use commercially reasonable efforts (which shall not include the payment of additional license fees) to make available) to the other party, upon written request, a license for such Non-core Technology on commercially reasonable terms.

Related to Non-core Technology

  • New Technology means methods, products, processes and procedures developed through science or research;

  • Background Technology means all tools, programs, designs, processes, formulas, techniques, improvements, inventions, works of authorship, software, data, know-how, ideas, methodologies, specifications, code libraries, algorithms, protocols, routines, subroutines, network systems, machine learning models, Trade Secrets (defined below), and other technology which are: (a) created, developed, owned, or licensed by PickNik prior to the Effective Date of this Agreement; (b) are created, developed, owned, or licensed by PickNik during the term of this Agreement but not delivered as a part of the Software; (c) which have general applicability to PickNik’s business and which are not based on any Company Confidential Information; or (d) modifications of or derivatives to any of the foregoing.

  • Collaboration Technology means all Collaboration Patents and Collaboration Know-How.

  • Clean coal technology means any technology, including technologies applied at the precombustion, combustion, or post combustion stage, at a new or existing facility which will achieve significant reductions in air emissions of sulfur dioxide or oxides of nitrogen associated with the utilization of coal in the generation of electricity, or process steam which was not in widespread use as of November 15, 1990.

  • Technology License Agreement means that certain Amended and Restated Technology License Agreement by and between Intel, Micron and the Joint Venture Company dated as of the Effective Date, as amended.
