At least seventy-five percent (75%) of the Designated Non-Company Employees shall have either (i) delivered duly executed employment offer letters or employment agreements in customary form to the Buyer or an Affiliate, or (ii) in jurisdictions in which employment continues automatically as a result of “transfer of undertaking” or similar foreign laws, continued employment with the Buyer or an Affiliate in accordance with Applicable Laws.
