Non-Available definition

Non-Available in relation to the IT Environment or the Services, that the IT Environment or the Services are not Available;
Non-Available in relation to the Platform, that the Platform is not Available;
Non-Available means any failure to comply with the obligations of the Contractor under this Agreement so that the Project Facilities or any part thereof are Not Available (save to the extent that the Project Facilities are Deemed Available) and the expressions "Not Available", "Non Availability", "Unavailable" and cognate expressions shall be construed accordingly;

Examples of Non-Available in a sentence

  • There are hereby created by the Issuer and ordered established with the Trustee within the Bond Fund three separate and segregated trust accounts to be designated, respectively, (a) the "Available Moneys Account," (b) the "Non-Available Moneys Account," and (c) the "Letter of Credit Account".

  • Accordingly, the Contractor shall not incur any Service Points for failure to meet System Response Times in circumstances where such failure is a result of, and the Contractor has already incurred Service Points for, the Service being Non-Available.

  • The calculation in Section 6(a)(ii) above shall be subject to any audit adjustments and any limitations on the utilization of the Non-Available FMC Carryforward Items imposed by law (including, without limitation, any such limitation imposed or which would have been imposed as a result of the Deconsolidation Event).

  • For the avoidance of doubt, the Parties agree that the Damages specified in this Clause 17.11.1 shall not be due and payable for and in respect of any day that includes a Non-Available Hour.

  • The calculation in Section 6(a)(ii) above shall be subject to any audit adjustments and any limitations on the utilization of the Non-Available XO Carryforward Items imposed by law (including, without limitation, any such limitation imposed or which would have been imposed as a result of the Deconsolidation Event).

  • For the avoidance of doubt, the Parties agree that the Damages specified in this Clause17.5.1 shall not be due and payable for and in respect of any day that includes a Non-Available Hour.

  • The calculation in Section 6(a)(ii) above shall be subject to any audit adjustments and any limitations on the utilization of the Non-Available XO Carryforward Items imposed by law (including, without limitation, any such limitation imposed or which would have been imposed as a result of the Restructuring or the Deconsolidation Event).

Related to Non-Available

  • Quarterly Excess Available Funds Percentage means, with respect to the June 2007 Transfer Date and each Transfer Date thereafter, the percentage equivalent of a fraction the numerator of which is the sum of the Excess Available Funds Percentages with respect to the immediately preceding three Monthly Periods and the denominator of which is three.

  • Maximum Available Amount means, on any date of determination, an amount equal to the lesser of:

  • Non-Availability Charges has the meaning set forth in the CAISO Tariff.

  • Maximum Availability has the meaning set forth in Section 2.1.1.

  • Amount Available means, with respect to any Distribution Date, the sum of (a) the amount of Collections with respect to the related Collection Period, plus (b) any investment income earned on amounts on deposit in the Collection Account since the immediately prior Distribution Date (or since the Effective Date in the case of the first Distribution Date).
