On expiry or termination of this Contract, the Contractor shall ensure or procure that the Nominated Staff return to the Employer or the NDA (as applicable) all documents, materials or any information which is confidential (in accordance with Clause AZ20 (Confidential Information) belonging to the Employer or the NDA.
The Authority shall recover, in accordance with its rights under Clause 7 (Parent Body Organisation Indemnities) of the Parent Body Agreement, all costs, claims, losses, liabilities and expenses which arise out of the termination of the employment of any of the Nominated Staff (or their replacements) from the Parent Body Organisation by claiming under the Parent Body Organisation Indemnities.
For the avoidance of doubt, it is not expected that Employees or Nominated Staff who are currently members of the Electricity Supply Pension Scheme will transfer to the Combined Nuclear Pension Plan.
Any inability of the Customer or delay in the Customer nominating individuals to be a Nominated Staff member shall not be a reason for Lexonik not proceeding with the delivery of the Lexonik Training.
If any Employee and/or any Nominated Staff perform the Contractor’s obligations to the Authority in relation to other sites under the Energy Act or another Site Management and Operations Contract, the Contractor shall ensure that such Employee’s or Nominated Staff’s time (as the case may be) is apportioned and charged to the relevant Site or site.

On expiry or termination of this Agreement, the PBO shall ensure or procure that the Nominated Staff return, within a period of ten (10) Working Days from expiry or termination to the PBO or the Authority (as applicable) all documents, materials or any information which is confidential (in accordance with Clause 19.1.1 (Confidential Information)) belonging to the PBO or the Authority.
The Contractor shall procure that the board of directors of the Contractor and Nominated Staff have within a period of twenty (20) Working Days read and confirmed their understanding in writing of the financial environment within which the Authority, as a Non Departmental Public Body, operates, as detailed in the documents attached as Schedule 9 Part 1 (Managing Public Money) and Schedule 9 (Part 2) (Regularity, Propriety and Value for Money).

Without prejudice to the provisions of clause 4 (Governance) of the Parent Body Agreement, and provided that the Authority has given its prior written consent pursuant to those provisions, any Nominated Staff may sit on the Contractor's board of directors.
