NO MISSTATEMENT each of the Chargors has fully disclosed in writing to the Chargees all facts relating to it which it knows or should reasonably know and which are material for disclosure to the Chargees in the context of the Transaction Documents; and no information, exhibit or report furnished in writing by it to the Chargees in connection with the negotiation of the Transaction Documents contains any misstatement of fact as at the date of such exhibit or report or as at the date when such information was given which is material in the context of the Transaction Documents, or omits to state a fact as at such date which in any such case would be materially adverse to the interests of the Chargees under the Transaction Documents;
