Notwithstanding the foregoing, all parties hereby consent to the disclosure of information contained in or related to this Agreement to the extent required, in the opinion of counsel to a party hereto, to comply with applicable securities laws and regulations or the laws and regulations administered by the NMPUC which bind such party.
The Parties shall reasonably cooperate and assist each other by furnishing to the filing party all reasonably requested information and documentary material in connection with such filing or notice under the H-S-R Act or with the CPUC or NMPUC and by promptly notifying the other Parties of any written communication to the filing party from any Governmental Authority relating to compliance with the H-S-R Act or other applicable law.

In Southwestern's sole discretion, Southwestern may file this Agreement for certification or approval with the PUCT and NMPUC.

To the extent such filings are made, they shall be made promptly following execution of this Agreement and, in such event, Southwestern shall use all reasonable efforts to obtain certifications or approvals from the PUCT and NMPUC, as applicable, on or before September 30, 1997.
The Trustee shall have no responsibility to ascertain whether any direction or certificate received by the Trustee from the Grantor or the NRC or NMPUC under this section is in compliance with the terms of a decommission plan or is an appropriate administrative expense or incidental cost.
This Agreement shall continue until terminated at the written agreement of the Grantor, the Trustee, and, if applicable, the NRC or NMPUC.
This Agreement may be amended by an instrument in writing executed by the Grantor, the Trustee, and, if applicable, the NRC or NMPUC or, if the Grantor ceases to exist, the Agreement may be amended by the Trustee and the NRC or NMPUC.
In addition, the Company has filed a complaint before the New Mexico Public Utility Commission ("NMPUC") Case 2684 seeking among other things, a stay against the ability of the City of Las Cruces to use any of the proceeds associated with the sale of revenue bonds to purchase any part of the Company's system in the City of Las Cruces or elsewhere in the State of New Mexico, until such time as the City receives proper authorization from the NMPUC as to its ability to purchase the system.
