NMO means each agent or broker who, at all times during the Qualification Period, has an agency agreement with American Equity under which the agent or broker is classified as a National Marketing Organization within American Equity’s hierarchy of agents. This Plan will apply only to those NMOs which recruit independent agents who are not captive to the NMO.

• It is expressly represented by Maker and acknowledged by Payee that this Compensation Plan may require the recruitment of experienced NMO management and/or capital to launch and grow the NMO, and that such management or investors may insist on being considered as distributors for the purposes of calculating Net Sales under this agreement.

• Parcel Select Non-Machinable fee applies for any NMO package, see Exhibit E.

• It is expressly represented by Maker and acknowledged by Payee that the formation, operation and success of the NMO is highly dependent on ▇▇▇▇▇▇▇ ▇.

• Where a person breaches an Occupation Order but there is no NMO in force the complainant should be advised to inform their solicitor of the breach to make further application to the court.
