All payments due from the NM Group Members on account of employee health and welfare insurance that would reasonably be expected to have a Material Adverse Effect if not paid have been paid or accrued as a liability on the books of the relevant NM Group Member.

To the knowledge of Holdings and the Borrower, each of the NM Group Members owns, or is licensed or otherwise has the right to use, all Intellectual Property necessary for the conduct of its business as currently conducted except to the extent such failure would not reasonably be expected to have a Material Adverse Effect.
