The Transaction Documents have been duly executed and delivered by the NKA Parties and constitute the legal, valid and binding obligation of each of the NKA Parties, enforceable in accordance with their terms and conditions.
Except as set forth in Section 3.5 of the Disclosure Schedule or as provided in Section 1.2 hereof, none of the NKA Parties are required to give any notice to, make any filing with, or obtain any authorization, consent, or approval of any government or governmental agency in order for the Parties to consummate the transactions contemplated by the Transaction Documents.
Each of the NKA Parties has the legal capacity, power and authority (including full corporate power and authority) to execute and deliver this Agreement and each respective agreement, document, instrument or certificate executed by them in connection with this Agreement (the "Transaction Documents") and to perform their respective obligations thereunder.
All corporate, trustee and other actions or proceedings to be taken by or on the part of the NKA Parties to authorize and permit the execution and delivery by them of the Transaction Documents to which they are a party, the instruments required to be executed and delivered by each of them pursuant thereto, the performance by them of their respective obligations under the Transaction Documents, and the consummation by them of the transactions contemplated therein, have been duly and properly taken.
