The Company or Nicor Gas, as applicable, may withhold from any amounts payable under this Agreement any federal, state or local taxes that are required to be withheld pursuant to any applicable law or regulation.

During the period in which the Executive has a Disability, the Company or Nicor Gas, as applicable, may appoint a temporary replacement to assume the Executive’s responsibilities.
The Company or Nicor Gas, as applicable, may terminate the Executive’s employment during the Employment Period for Cause.
