NIAT definition

NIAT means NIBT, minus the amount of tax distributions pursuant to SECTION 4.2 in respect of such NIBT.
NIAT means KPLP’s net income after taxes.

Examples of NIAT in a sentence

  • If the Threshold Cumulative NIAT Target has been attained at the conclusion of any subsequent corresponding Measurement Period, then any previously deferred lapse of transfer restrictions shall be lifted.

  • If the Cumulative NIAT is less than $ million no payments will be made.

  • If the Company implements a change in accounting principle during the Performance Period either as a result of the issuance of new accounting standards or otherwise, and the effect of the accounting change was not reflected in the Company’s business plan on the date of this Agreement, then Cumulative NIAT, Average ▇▇▇ and BVG Multiple shall all be calculated as if the change in accounting principle had not been in effect.

  • If the Threshold Cumulative NIAT Target has not been attained at the conclusion of the Measurement Period ending on December 31, 2012, then any shares still subject to transfer restrictions shall be forfeited, surrendered and cancelled without consideration and without any further action by Grantee.

  • If the Cumulative NIAT for the Performance Period is between Minimum and Target or between Target and Maximum, the NIAT PF shall be determined by interpolation (rounded to the nearest tenth of a percentage point).

  • Notwithstanding the foregoing, if the Cumulative NIAT is $ million or greater, in no event shall the Payout Factor be less than the greater of 25% or 25% multiplied by the BVG Multiple.

  • The NIAT limitation-portion carryover payment process shall continue year after year until the entire $15 million PERFORMANCE PREMIUM has been paid in full.
