Each Loan Party agrees that it shall not make a final investment decision with respect to Train Three, or waive any condition in the NGPL PA 2 related to the making of such final investment decision, unless all applicable conditions in the Finance Documents for the development of Train Three (including obtaining applicable consents from the Intercreditor Agent, acting on the instruction of Requisite Intercreditor Parties) have been satisfied or waived as required under the applicable Finance Documents.
Above the applicable MDQ, the Fuel Index shall be the greater of the prices published in the “Common” column heading of Platts Gas Daily in its “Daily Price Survey” for gas to flow at either NGPL Texok zone or Enable Gas, East for the Flow Day, expressed in $/MMBtu; provided, however, that in the event that such price is not published, the Fuel Index shall be the simple average of the last such price that was published and the next such price that was published.
The Fuel Index shall be equal to the highest price published in Platts Gas Daily in its “Daily Price Survey” under the column heading “Common” for gas to flow at NGPL Texok zone, up to the Maximum Daily Quantity1 (“MDQ”) as set forth on the attached MDQ 1 The Maximum Daily Quantity is the quantity of firm gas secured under CUSTOMER’S firm gas transportation contract.
Should the hydrocarbon dew point required by NGPL become less than forty-five (45) degrees, Gatherer and Producer shall work in good faith to determine a solution to the new hydrocarbon dew point requirement.
Without limiting the foregoing, with respect to the EPC Contract, the ChevronTexaco Contract, the NGPL Contracts and the Total E&P Contract (“Capital Expenditure Contracts”), (x) to the knowledge of Sellers the counterparties to each of the foregoing have fully complied with the terms and conditions thereof, (y) no persons are claiming, or have the right to claim, any materialmen’s, supplier’s or laborer’s liens in connection therewith.
Should FEP at its sole option ever add compression facilities to enable the transportation of gas from the Arkansas Receipt Points to the NGPL Interconnect, Shipper shall be required to pay the Fuel Charge associated with same pursuant to FEP's Tariff, as limited by the Fuel Cap.
Notwithstanding the foregoing, the term Force Majeure does not include (i) changes in market conditions that affect the cost of Gas or any alternate supplies of Gas or (ii) Gas supply or transportation interruptions, except to the extent that Gas is unavailable generally on the NBPL, APL, NGPL, Nicor Gas or Peoples Gas systems at any price.
Any shortfall volumes sold for the delivery months, shall be credited at the monthly average price of the Gas Daily NGPL, Texok zone index as published in the Platts Gas Daily, Final Daily Price Survey minus $0.15 per MMBtu.
