• The costs of any relocation of the Installation, or any part of the Installation, that was installed without NFTC first obtaining the required permits and approvals from the County shall be borne by NFTC solely within a period of five (5) years of the date of the installation, notwithstanding its rights pursuant to the Telecommunications Act.

• The County agrees that in the event any such repair or maintenance of the County Structure, including improvements, is required, it shall provide NFTC thirty (30) business days prior written notice unless the requirement to repair and/or maintain a County Structure is due to an emergency situation involving the health and safety of the public such that, in the discretion of the County, it would be prudent or reasonably necessary to act in a shorter period of time.

• Notwithstanding the above, if any of the conditions set forth in this Article V have not been satisfied, NFTC may in their sole discretion elect to proceed with the consummation of the transactions contemplated hereby.

• Simultaneously with the Closing, NFTC will license the ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇’▇ System back to PFSI for the sole purpose of PFSI conducting business as the franchisor of the ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇’▇ System in the geographic region and on the terms and conditions as set forth in the License Agreement attached hereto as Exhibit A.
