  • Except as set forth in Schedule 4.16 attached hereto, there are no outstanding work orders, non-compliance orders, deficiency notices, notices of violation, including zoning violations, or other such notices relative to the real property, the leased premises, the other properties and Assets of NFD or the NFD Business which have been issued by any Governmental Entity.

  • NFD has all necessary corporate power and authority to own or lease its property and Assets and to carry on the NFD Business and is duly qualified, licensed or registered to carry on the NFD Business and is in good standing in all jurisdictions in which the nature of the NFD Business or the property owned or leased by it makes such qualification, licensing or registration necessary.
