Exceptions are the alienations to the affiliates of Nextech Venture LP (article 15 AktG – Share Law) or to companies receiving consulting services from Nextech Venture AG, Zürich (hereinafter collectively referred to as “Nextech Venture“).

If, on any flight, the Nextech Observer travels in an upgraded class, the Company only shall be required to reimburse the Nextech Observer or Nextech for the cost of a coach class fare on such flight.
The Company, in its sole discretion, reserves the right to exclude the Nextech Observer from all or part of any meeting of the Board and to withhold information and redact portions or entire documents to the extent reasonably necessary to protect confidential information of the Company, maintain a legal privilege or address any actual or potential conflict of interest between the Nextech Observer or Nextech or any of Nextech’s affiliates, on the one hand, and the Company, on the other hand.
Except as otherwise provided herein or in the other documents or instruments contemplated hereby, each of the Company and the Purchasers shall bear its own expenses and legal fees incurred on its behalf with respect to this Agreement and the transactions contemplated hereby; provided that, at the Closing, the Company shall pay the documented and reasonable out-of-pocket legal fees and expenses of Nextech Invest Ltd.
