News Group definition

News Group means, for purposes of Section 4.01(bb) only, (a) TNCL; ---------- (b) each Related Corporation of TNCL; (c) each entity (as defined in Section 243C of the Australian Corporations Law) that TNCL or its Related Corporations control (as defined in Section 243E of the Australian Corporations Law); and (d) each Loan Party.
News Group shall have the meaning set forth in the Preamble.
News Group means News Corporation, a Delaware corporation, and any of its successors and Affiliates, and (a) K. Xxxxxx Xxxxxxx and any executor, administrator, guardian, conservator or similar legal representative thereof, (b) any member of the immediate family of K. Xxxxxx Xxxxxxx, (c) any Person directly or indirectly controlled by one or more of the members of the Xxxxxxx family described above (a “Controlled Person”), and (d) any Person acting as agent for any Person described in clauses (a) through (d) hereof; provided that a trust and the trustees of such trust shall be deemed to be controlled by any one or more members of the Xxxxxxx family if a majority of the trustees of such trust are members of the Xxxxxxx family or may be removed or replaced by any one or more of the members of the Xxxxxxx family and/or Controlled Persons.
