VeriChip shall cooperate with the Company in performing all acts related to obtaining required Governmental Approvals, including but not limited to providing marketing and other information related to the New Uses to the Company and joining the Company in the development and implementation of any required clinical studies.
VeriChip shall promptly reimburse the Company for all out-of-pocket expenses incurred by the Company in connection with obtaining any Governmental Approvals required for VeriChip’s New Uses.
VeriChip shall not use the Developed Products for New Uses unless all required Governmental Approvals have been obtained or the Company has notified VeriChip that no Governmental Approvals are required.
The Company shall keep Licensor (or her legal representative, heirs or estate) advised of any New Uses in a timely manner, so that Licensor may confirm the Company’s compliance with the terms hereof.

Baxalta shall cooperate with Baxter in its oversight and review of any use or requested use of the Trademarks, including with respect to any New Uses, including as ▇▇▇▇▇▇ ▇▇▇▇▇ necessary to maintain quality control over, and validity and enforceability with respect to, the Trademarks.
In the event of the death or incapacity of either Licensor, the remaining Licensor shall have the right to receive the foregoing notice of New Uses of the Property of the deceased or incapacitated Licensor.
Baxalta acknowledges and agrees that it and its Subsidiaries (and their respective sublicensees) shall be bound by any restrictions placed upon such New Uses by Baxter, including restrictions respecting the usage of the Trademarks and the quality of any Materials in connection with which the Trademarks are to be used.
