  • Such fees shall be payable to New NTL by Euroco on or before the Due Date.

  • On the Separation Date, New NTL shall retain all of the books and records of the Affiliated Group relating to periods on or prior to such date, subject to Euroco's rights to such information under this Section 8.2 and other provisions of this Agreement.

  • No party may assign this Agreement or any rights or obligations hereunder, without the prior written consent of the other party hereto, and any such assignment shall be void; provided, that each of Euroco and New NTL may assign this Agreement to a successor entity in conjunction with such party's reincorporation or Change of Control.

  • Notices, offers, requests or other communications required or permitted to be given by any party pursuant to the terms of this Agreement shall be given in writing to Euroco or New NTL, as applicable, to the following addresses or facsimile numbers: If to Euroco, at: NTL Europe, Inc.
