New Class A Warrant definition

New Class A Warrant means the warrant to be issued by the Reorganized Debtor, in substantially the form attached as Exhibit I.A.64 to the Plan, providing the holder thereof with the right to purchase one share of New Common Stock for $1.00 at any time commencing on the Initial Distribution Date and expiring on the second anniversary thereof, unless earlier terminated pursuant to the terms thereof.

Examples of New Class A Warrant in a sentence

  • The Additional Stock is, and upon issuance in accordance with the New Class A Warrant, the shares of Common Stock issuable upon exercise thereof, respectively, will be, duly authorized, validly issued, fully paid and nonassessable and free from all preemptive or similar rights, taxes, liens and charges with respect to the issue thereof, with the Seller being entitled to all rights accorded to a holder of Common Stock.

  • The issuance to the Seller of the Additional Stock and the New Class A Warrant are duly authorized and are free from all taxes, liens and charges with respect to the issue thereof.

  • The offer and issuance by the Issuer of the Additional Stock and the New Class A Warrant is exempt from registration under the 1933 Act, and the Additional Stock is freely tradable under the 1933 Act and applicable states securities laws without further registration under the 1933 Act.
