New Class definition

New Class is defined in Exhibit D to the Indenture.
New Class is defined as the classification to which the employee is promoted, within the meaning of Article 27, Promotions.
New Class has the meaning set forth in Section 9.02(d).

Examples of New Class in a sentence

  • Where there is an exchange of Shares, Shares of the New Class will be allotted and issued in respect of and in proportion to the Shares of the Original Class in the proportion S to R.

  • An exchange of Old Class Shares for New Class Shares will be processed as a conversion (“Share Class Conversion”).

  • The number of New Class Shares issued will be determined by a conversion factor calculated by reference to the respective prices of New Shares and Old Shares at the valuation point applicable at the time the Old Class Shares are converted to New Class Shares.

  • Unlike a Switch, a conversion of Old Class Shares into New Class Shares will not involve a redemption and issue of shares.

  • The Manager has the discretion to reject any conversion requests subject to the availability of the New Class and to the compliance with any eligibility requirements and other specific conditions of the New Class (such as minimum subscription and holding amounts).

  • If the Share Class Conversion would result in the Shareholder holding a number of Old Class Shares or New Class Shares of a value which is less than the minimum holding in the Share Class concerned, the ACD may, if it thinks fit, convert the whole of the applicant’s holding of Old Class Shares to New Class Shares or refuse to effect any Share Class Conversion of the Old Shares.

  • F is the currency conversion factor determined by the Manager for the relevant Subscription Day of the New Class as representing the effective rate of exchange between the Class Currency of Units of the Existing Class and the Class Currency of Units of the New Class.


More Definitions of New Class

New Class means all Money Mart customers who in the period September 10, 2007 to the last day of the Settlement Period engaged in their first payday loan and/or fast cash advance in Ontario with Money Mart or a Former Franchisee or a Current Franchisee which was repaid using a first party personal cheque delivered at the time the loan was obtained provided such cheque was honoured by the bank;
New Class. Means, in case of conversion of Shares, the new Class of Shares into which a Shareholder has converted part or all of his Shares belonging to the Original Class, as described under “Conversion of Shares”;
New Class means all Money Mart customers who in the period July 12, 2009 to October 31, 2009 entered into their first Eligible Fast Cash Advance Transaction in B.C., excluding those persons who opt-out of the Settlement in accordance with this Agreement;
New Class means a class which did not formerly exist within the appropriate compensation plan, and represents a new concept of work for which an initial pricing action was taken.
New Class has the meaning set forth in Section 3.3(b) hereof.

Related to New Class

  • Scheduled Classes As specified in the Preliminary Statement.

  • Subclass With respect to the Class A-V Certificates, any Subclass thereof issued pursuant to Section 5.01(c). Any such Subclass will represent the Uncertificated Class A-V REMIC Regular Interest or Interests specified by the initial Holder of the Class A-V Certificates pursuant to Section 5.01(c).

  • Class when used in reference to any Loan or Borrowing, refers to whether such Loan, or the Loans comprising such Borrowing, are Revolving Loans or Swingline Loans.

  • Subordinated Class means, with respect to the Class A Notes, the Class B Notes.

  • Related Classes As to any Uncertificated REMIC I Regular Interest, those classes of Certificates identified as "Related Classes of Certificates" to such Uncertificated REMIC I Regular Interest in the definition of Uncertificated REMIC I Regular Interest.

  • Class H designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.

  • Existing Class means any Existing Term Loan Class and any Existing Revolving Credit Class.

  • Group II Class A Certificates The Class A-2a Certificates, the Class A-2b Certificates, the Class A-2c Certificates and the Class A-2d Certificates, collectively.

  • Restricted Classes As defined in Section 4.02(e).

  • Affected Class has the meaning specified in Section 2.24(a).

  • Corresponding Class The Class of Certificates that corresponds with a class of interests in REMIC 2 as described in the Preliminary Statement.

  • Requisite Class Lenders means, at any time of determination (i) for the Class of Lenders having Revolving Loan Exposure, Lenders having or holding more than 50% of the aggregate Revolving Loan Exposure of all Lenders, and (ii) for the Class of Lenders having Term Loan Exposure, Lenders having or holding more than 50% of the aggregate Term Loan Exposure of all Lenders.

  • Class HI B-2 Formula Interest Distribution Amount" means, as to any Payment Date, the sum of (a) the amount specified in clause (a) of the definition of the term "Class HI: B-2 Formula Distribution Amount" and (b) the Unpaid Class HI: B-2 Interest Shortfall, if any.

  • Initial Class Principal Balance As set forth in the Preliminary Statement.

  • Original Class B-5 Percentage The Class B-5 Percentage as of the Cut-Off Date, as set forth in Section 11.12.
