Sell, exchange, transfer or otherwise dispose of any or all of the Unsold Rancho Murieta Property or the Nevada Property other than in strict compliance with the release provisions referred to in the Rancho Murieta Deed of Trust and the Nevada Deed of Trust.
Executive shall have such duties as may be assigned to Executive from time to time by the Board of Directors of Nevada Property 1, LLC (the “Board”) or such other person or entity as designated from time-to-time by Deutsche Bank AG.
Notwithstanding anything herein to the contrary, the effectiveness of this Agreement is subject to and conditioned upon occurrence of the Closing and if the Purchase Agreement between Nevada Mezz 1 LLC, Nevada Property 1 LLC, BRE Spade Mezz 1 LLC, and Deutsche Bank AG, dated as of May 15, 2014, terminates prior to the occurrence of the Closing, this Agreement will immediately become null and void ab initio and of no force and effect.
Unwin will reasonably cooperate with any request made by the Company or Nevada Property relating to or arising out of any of the matters that Unwin worked on, learned of or became familiar with or that occurred during Unwin’s employment with Nevada Property, including, but not limited to, disputes, claims, investigations, proceedings or litigation arising out of or relating to such matters.
The Parties will establish a 5% royalty stream on the commercial output of the Nevada Property for the whole mine life period.
