When Media Company shall connect Media Company’s Demand to the Publisher Services to serve Ads (if applicable), Media Company will pay Agency, on a monthly basis, the Agency Share. The Agency Share will be deducted from any of Media Company’s payments due by Agency under the Agreement. In the event that the Agency’ Share exceeds payments due by Agency under the Agreement, Agency will invoice Media Company for the excess amount and such amount will be due and payable within thirty (30) days; (d) Agency will not pay, and shall be entitled to receive, a refund from Media Company to the extent payment was made (including also, by way of offsetting against any payment due to Media Company), based upon Impression calculations affected by Fraud, o...
