For the purpose of calculation of the Contribution Value, Net Usable Acres shall be based upon the "Survey" (as defined in Paragraph 4 hereof), shall include acreage to be used for new roads and infrastructure necessary for development of the Property and shall not include any acreage in any area designated as flood plain.
The total purchase price for the Property (the "Purchase Price") shall be Three Dollars and Eighty-Five Cents ($3.85) times the "Net Usable Area" of the Land, as certified to Seller and Buyer in the Survey arising out of Section 5.3. Assuming the Land has 11.18 Net Usable Acres, the Purchase Price would be $1,874,953.
In addition, Seller shall, at Seller's sole cost and expense, commission a new ALTA survey or updated Existing Survey conforming with ALTA standards (the "Survey"), which will be certified to Seller, Purchaser and Title Company and will show the total Net Usable Acres.
